October 7, 1994, Folkestone, U.K. Q Dawson Holdings PLC announced today that it
has acquired The Faxon Company, Inc., a subscription service agency located in
Westwood, Massachusetts.
Dawson had previously acquired two Faxon subsidiary companies -- the Turner
Subscription Agency and Faxon Canada. This acquisition, which has been
approved by the Federal Trade Commission (FTC) completes Dawson's purchase of
Faxon and makes Dawson the second largest library information services
organization in the world.
"Dawson is pleased to have completed the final phase of the purchase of Faxon,
and we are fully committed to protecting our investment in Faxon," said Bryan
Ingleby, Group Chief Executive of Dawson Holdings. "The Faxon Company will be
a wholly-owned subsidiary and will continue to operate from its Westwood, MA
location, under the Faxon name."
Ingleby further stated, "All orders and funds for 1995 subscriptions are
secure, and clients will receive the same high-quality service as they have in
the past. We are eager to build on Faxon's leadership position in the library
community and view this as a long-term investment that positions Dawson for
solid future growth."
Included in the closing funds was the amount needed to retire Faxon's small
remaining 1994 publisher obligations, and publishers have agreed to return to
normal trading terms with Faxon for the 1995 subscription year. Dawson has
also secured a working capital line of credit to allow Faxon to resume normal
business operations.

supplier of information services to the library and business communities.
