               CARL Systems, Inc. Selects B.H. Blackwell
                   as Strategic Partner for UnCover
                        Letter of Intent Signed

CARL Systems, Inc. of Denver, Colorado, and B.H. Blackwell have
signed a letter of intent, to jointly  develop, expand and market
the UnCover current awareness and article delivery service.

Ward Shaw, Chairman and CEO of CARL Systems, Inc., commented,

     "We have chosen Blackwell as our strategic partner
     because of the international marketing and service
     reputation of the Blackwell Group, and its ability
     to reach the global marketplace.  Blackwell's
     strength in academic and research institutions
     worldwide, and Readmore's presence in the corporate
     and medical marketplace in North America are attractive
     to us.  Finding a partner with international marketing,
     a strong commitment to the library community, and a wide
     product range will serve this enterprise well."

The existing UnCover service will be enhanced and expanded to
serve the growing need of libraries and researchers for timely
and cost effective access to current research literature.  The
UnCover database will be expanded to include 15,000-20,000 titles,
and will be delivered to libraries worldwide over appropriate
public and private networks.  CARL Systems, Inc. will continue
to market UnCover as an integral part of its library management
system.  CARL Systems customers will continue to receive access
to the UnCover service.

Terry Collins, Blackwell's Group Managing Director, commented,

     the UnCover service on a global basis through
     our periodical companies, including Blackwell's
     Periodicals, Readmore, Inc., Readmore Academic
     Services, and Readmore Canada.  The addition of

     it the premier article delivery service in the world."

Preparation of the detailed final documents is currently underway
and negotiations between the Board of Directors of the two
